Each, a “Party” and together, the “Parties.”
1. Purpose
The Parties wish to explore a potential business relationship connected to both medical software, non-medical software, and related technologies. The Disclosing Party may share Confidential Information with the Receiving Party for evaluating and discussing these opportunities only.
2. Definition of Confidential Information
“Confidential Information” covers all information (in written, electronic, oral, or any other form) disclosed by the Disclosing Party to the Receiving Party, including but not limited to: intellectual property, source code, object code, technical data, software (medical and non-medical), documentation, product designs, inventions, business plans, customer/supplier data, financial information, marketing materials, and any proprietary ideas or strategies.
3. Exclusions
This Agreement does not apply to information that:
Is or becomes publicly available through no fault of the Receiving Party;
Was lawfully known by the Receiving Party before disclosure;
Is received from a third party without breach of any confidentiality obligation;
Is expressly approved for release by the Disclosing Party in writing;
Is required by law or court order to be disclosed (with advance notice to the Disclosing Party when permitted).
4. Obligations of the Receiving Party
The Receiving Party will:
Keep all Confidential Information strictly confidential and use it only for the Purpose above;
Restrict access to individuals who need to know, and ensure they are bound by similar confidentiality obligations;
Not publish, copy, use, or disclose any Confidential Information for their own or anyone else’s benefit without written consent;
Notify the Disclosing Party promptly if any unauthorized use or disclosure occurs;
Return or securely destroy all Confidential Information upon written request by the Disclosing Party.
5. Duration
All confidentiality obligations will remain in force for five (5) years from the date of disclosure under this Agreement.
6. No Partnership
Signing this Agreement does not create a partnership, joint venture, or employment relationship.
7. Governing Law
This Agreement is governed by the laws of the Republic of Ireland. Both Parties submit to the exclusive jurisdiction of the Irish courts.
8. Entire Agreement
This document forms the entire understanding between the Parties regarding confidential information and supersedes all previous discussions or agreements. Amendments must be made in writing and signed by both Parties.
9. Remedies
If the Receiving Party breaches this Agreement, the Disclosing Party can seek damages and any court-ordered remedies available by law, including injunctions.
